Club structure: Company Limited by Shares

On 9th May 2025, Hamilton Academical submitted a second filing of their 2023 Confirmation Statement to Companies House, replacing the data originally filed (which had shown the transfer of Edencrest Ltd’s holding to 1874 Holdings Ltd – the company owned by Seref Zengin). This second filing shows two classes of shares for the first time – 100,000 “A Ordinary” shares with voting rights, and 473,757 “B Ordinary” shares with no voting rights. Previously, all shares had equal voting rights. The shareholding owned by Hamilton Academical Supporters Society have been classified as non-voting shares.

On 4th October 2025 Seref Zengin’s directorship was reported to have ended, with Gerald Strain and John Brown now listed as “persons with significant control” of the company, although 1874 Holdings Ltd are still listed as holding the majority of the company’s shares.
